Salient Features for Formation of a Branch Office in Dubai
A foreign companies and MNCs can setup a branch in mainland Dubai. Branches are regulated by Ministry of Economy (MoE), however trade license is issued by DED- Department of Economic Development.
General Information:
- Legal Status: Branch Office of a Foreign Company (Professional license)
- Capital: NIL
- Activity: Service License
- A bank guarantee: AED 50,000.00/- in favour of MoE.
- Fees: AED 15,000/- payable to MoE.
Documents / Details Required:
- All Foreign documents- of parent company- should be translated in Arabic
- Copy of Certificate of Incorporation of parent company, notarized and attested by UAE Embassy in the country of Origin.
- Copy of Memorandum & Article of Association of parent company, notarized and attested by UAE Embassy in the country of Origin.
- Copy of certificate of Good standing of parent company, notarized and attested by UAE Embassy in the country of Origin.
- Copy of certificate of incumbency of parent company, notarized and attested by UAE Embassy in the country of Origin.
- Power of Attorney in favor of Manager notarized and attested by UAE Embassy in the country of Origin.
- Board resolution by parent company to form a branch in Dubai, UAE, notarized & attested by UAE Embassy in the country of Origin.
- Passport copies of the shareholders/directors of the parent Company.
- Passport copy of the Manager.
- Application form duly signed by appointed Manager of the proposed company.
- Tenancy Contract.
- The agency contract concluded by the parent company with local agent, and a copy thereof.
- NOC from the current Visa sponsor if the shareholders/Manger is resident of UAE.
Note:
- Branches of firms are allowed to open branches in the state to practice activities with the exception of the following activities:
- Trading and all branches of activities represented in sales and purchase of products and commodities.
- Restaurants, cafés and food stuff supplies and catering.
- Haj and Omra services.
- Labor supply
- Commercial Agencies.
REPRESENTATION OFFICE

A foreign companies and MNCs can setup a Representation Office in mainland Dubai. Representation office are regulated by Ministry of Economy (MoE), however trade license is issued by DED- Department of Economic Development
- Regulated by Ministry of Economy (MOE)
- Appointment of a Legal Service Agent (UAE National)
- Lease agreement -Minimum office space required 500 Sq.feet.
- Deposited with Ministry of Economy (MOE)- AED 50,000/-
- Fees payable to Ministry of Economy (MOE)-AED 15,000/- For commercial License)
- Legal Translation of Parent Company documents in Arabic
- Drafting and Typing of National Service Agreement
- Documents of parent company to be attestation from Ministry of Foreign Affairs (MOFA)
- Copy of Certificate of Incorporation of parent company, notarized and attested by UAE Embassy in the country of Origin.
- Copy of Memorandum & Article of Association of parent company, notarized and attested by UAE Embassy in the country of Origin.
- Copy of certificate of Good standing of parent company, notarized and attested by UAE Embassy in the country of Origin.
- Copy of certificate of incumbency of parent company, notarized and attested by UAE Embassy in the country of Origin.
- Board resolution to form a Representative in Dubai, UAE, notarized & attested by UAE Embassy in the country of Origin.
- Other documents / Details Required:
- Power of Attorney in favor of Manager notarized and attested UAE Embassy in the country of Origin.
- Passport copies of the shareholders/directors of the parent Company.
- Passport copy of the Manager.
- Application form duly signed by appointed Manager of the proposed company.
- Tenancy Contract.
- NOC from the current Visa sponsor if the shareholders/Manger is resident of UAE.
